1. Agreement to Terms
By accessing or using Boss Agent ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
The Service is provided by Kabooyaa Pty Ltd (ABN pending), an Australian company ("we", "us", "our").
2. Service Description
Boss Agent is an AI-powered software-as-a-service (SaaS) product that integrates with ServiceM8 to provide:
- Voice to Quote — AI-powered transcription of voice memos and photo analysis to generate branded PDF quotes
- Voice to Invoice — AI-powered job report and invoice generation from completion notes
- Conversation Handler — AI-drafted customer replies based on job context
- Dispute Prevention — Automated variance analysis between quotes and invoices with proactive customer notification
Boss Agent is a tool to assist your business operations. All AI-generated content (quotes, invoices, messages) is presented as a draft for your review before being sent to customers. You are responsible for reviewing and approving all output.
3. Eligibility
The Service is available to businesses and individuals who:
- Are at least 18 years of age
- Have a valid ServiceM8 account
- Use the Service for legitimate business purposes
4. Account Registration
To use Boss Agent, you must connect your ServiceM8 account via OAuth. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
5. Subscription and Pricing
5.1 Pricing
Boss Agent is offered at $129 USD per month per ServiceM8 account. This includes all four AI agents and unlimited usage of core features.
5.2 Free Trial
New accounts receive a 14-day free trial. No credit card is required to start the trial. At the end of the trial, you must subscribe to continue using the Service.
5.3 Billing
Subscriptions are billed monthly in advance. Payment is processed via Stripe. You agree to provide accurate and complete billing information.
5.4 SMS and Usage-Based Charges
SMS notifications sent via the Service may incur usage-based charges in addition to the monthly subscription fee. Current SMS rates are displayed in the Boss Agent dashboard.
6. Cancellation and Refunds
- You may cancel your subscription at any time through the Boss Agent dashboard or by contacting us at admin@kabooyaa.com.
- Upon cancellation, you retain access to Boss Agent until the end of your current billing period.
- No refunds are provided for partial billing periods.
- After your subscription ends, your data will be deleted within 30 days in accordance with our Privacy Policy.
7. Acceptable Use
You agree to use Boss Agent only for lawful business purposes. You must not:
- Use the Service for any illegal, fraudulent, or harmful activity
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Abuse AI features to generate misleading, false, or deceptive content
- Use the Service to send spam or unsolicited communications
- Share your account credentials with unauthorised parties
- Attempt to circumvent usage limits or security measures
- Use the Service in a way that interferes with other users or damages the Service's infrastructure
We reserve the right to suspend or terminate accounts that violate these terms.
8. Intellectual Property
The Service, including its software, design, branding, and documentation, is the intellectual property of Kabooyaa Pty Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.
Content generated by Boss Agent using your data (quotes, invoices, messages) belongs to you.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.
- We do not guarantee that AI-generated content will be accurate, complete, or suitable for your specific needs. You are responsible for reviewing all output before use.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability to you for any claim arising from or relating to the Service is limited to the amount you paid us in the 12 months preceding the claim.
- We are not liable for any loss of revenue, customers, or business opportunities resulting from reliance on AI-generated content.
11. Indemnification
You agree to indemnify and hold harmless Kabooyaa Pty Ltd, its officers, directors, and employees from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
12. Service Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for downtime caused by factors beyond our control, including third-party service outages (ServiceM8, OpenAI, Twilio, etc.).
13. Modifications to the Service
We reserve the right to modify, update, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes. Continued use of the Service after changes constitutes acceptance of the modified Terms.
14. Termination
We may suspend or terminate your access to the Service if:
- You violate these Terms
- Your payment is overdue
- Your use of the Service poses a risk to other users or our infrastructure
- Required by law
Upon termination, your right to use the Service ceases immediately. Data deletion follows the timeline described in our Privacy Policy.
15. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kabooyaa Pty Ltd regarding your use of Boss Agent.
